Terms and Conditions
Please review carefully the terms and conditions set forth below before using the Samasource Inc. (“Samasource”) website, contacting Samasource to become a Provider in our network or contacting Samasource for a Provider referral or working with a Samasource Provider. The terms "You", "Your", "User", or "Users", “Client”, or “Provider” refer to anyone accessing our services or web site for any reason. The terms "We", "Us", or "Our" refer to Samasource. Use of Samasource websites, including but not limited to Samasource.com and Samasource.org, joining the Provider network, and introductions to Providers in the Samasource network are offered to you conditioned on your acceptance of the terms, conditions, restrictions and notices contained herein.
Samasource may amend or modify these terms and conditions without notice, effective immediately, by updating the posting of this document on our website or sending you a copy of the updated Terms and Conditions of Service. Your use of the Samasource web site or contact with Samasource for purposes of access to the Provider network constitutes your agreement to all such terms, conditions, restrictions and notices.
A “client” is any person, group or corporation using the Samasource service to purchase a business service, software, or other service or good.
A “Provider” is any person, group or corporation using the Samasource service to sell a business service, software, or other service or good.
“Network” is the group of Providers with whom Samasource works and/or to whom Samasource introduces a client.
ELIGIBILITY
Samasource shall have absolute discretion as to whether or not a particular applicant is qualified to participate in the service. Samasource’s web site is available only to individuals who can form legally binding contracts under applicable law. The services of this web site and this organization are not available to minors. If Users do not qualify, they cannot legally use any of Samasource’s services including, but not limited to, those that require the User's ability to form legally binding contracts.
REMOVAL FROM NETWORK
Samasource reserves the right to terminate the participation of any User or Provider. Samasource may remove Providers from the network with no prior notification. Members found in violation of the Terms and Conditions will not receive any payment from Samasource. Members that are terminated by Samasource on any basis other than violation of these Terms and Conditions will be entitled to receive any payment due to them in full.
DESCRIPTION OF SERVICES
Samasource offers a wide range of tools, content, products, services, benefits, and other resources on its web site and through its network and associates of particular interest to do business efficiently, socially responsibly and cost effectively. These services are for use only under a non-exclusive, non-transferable, and non-assignable license under these terms and conditions of use. You do not have the right to copy, sell, or otherwise exploit for any commercial purpose the services or content (in whole or in part), access to this service or use of this service.
The information that Samasource provides should not be considered professional, medical, legal, technical, or any other discipline-specific advice.
Samasource is a dynamic and changing service and web site. As such, the information on our website will be changed frequently. It is possible that some information could be considered offensive, harmful, or inaccurate, and in some cases may be mislabeled or deceptively labeled accidentally by Samasource or accidentally or purposefully by a third-party, regardless of whether such third parties are with or without a legitimate business purpose.
Samasource may provide unmonitored access to third-party content. Samasource has no liability based on, or related to, the third-party content on this Site or accessible by contacting our network, whether arising under the laws of copyright or other intellectual property, defamation, libel, privacy, obscenity, or any other legal discipline. This web site may contain links to third-party web sites.
REFERRAL COMMISSIONS
The referral commission paid out will be the one stipulated in the Memorandum of Understanding (“MOU”) that all Providers are required to sign before they participate in the network. Samasource reserves the right to delay or cancel sending Provider earnings in the event that Provider’s commissions are past due.
PAYMENTS
Samasource reserves the right to define the terms of payment, method of payment and all other matters related to payment for services brokered through our service or relating to our network for a period of two years from the initiation of contact between Provider or Client and Samasource. All amounts are stated in and all payments will be made in US funds for contracts and/or proposal originating in the US and in Euros for all contracts originating in Europe unless otherwise specified in contract and/or proposal. Samasource reserves the right to suspend a payment if the source of the funds is suspected to be fraudulent.
AVOIDING COMMISSIONS
You are strictly prohibited from attempting to negotiate the fee for a project with another user, Provider or member of the Samasource network for a period of two years from initiation of contact with Samasource for the purpose of avoiding the commission that Samasource charges to access its services. Both parties are responsible for notifying Samasource if the payment amount increases (above the bid amount) after the project is closed. Receiving a larger amount than the original project bid, without notifying Samasource, will be considered an attempt to avoid the commission and result in suspension or permanent removal from the network and, where applicable, prosecution.
Samasource commissions are below market rates for comparable services to ensure that we are able to serve disadvantaged firms. As a 501(c)(3) non-profit corporation, our continued ability to provide services to underdeveloped areas and peoples relies on the integrity of our Users.
COPYRIGHTS
No copyrighted material may be posted on Samasource websites. No copyrighted material may be sold to clients through the Provider network unless permission to use the copyright has been obtained. Any unauthorized use of copyrighted materials for any purposes may subject you to legal action. Samasource is not responsible for enforcing copyright laws. Posting copyrighted materials without permission is a violation of the terms and conditions of service.
USER CONTENT
Provider, client and other users are solely responsible for content or any other information Provider, client or other users provide to Samasource. Provider, client and other users understand and agree to the following:
Samasource is only acting as a venue and service for introducing clients and users with Providers in the Samasource network. However, no warranties as to the actual work, project or other business related to said introductions are made or implied by Samasource itself. We always recommend setting a legal contract to govern your interaction as well as entering into specific agreements related to the security, privacy or other aspects of your respective information, ideas or property.
Samasource has the right but is under no obligation to take any action deemed appropriate with respect to products and services if it is believed that such products and services may create liability for Samasource, harm our business operation or reputation, or cause our network or our clients to not receive the services they have requested.
User represents and warrants that User's content postings, interactions and sales: (a) will not infringe upon or misappropriate any copyright, patent, trademark, trade secret, or other intellectual property right or proprietary right or right of publicity or privacy; (b) will not violate any law or regulation; (c) will not be defamatory or trade libelous; (d) will not be obscene or contain pornography of any kind; (e) will not include incomplete, false or inaccurate information about User or any other individual; and (f) will not contain any viruses or other computer programming routines that are intended to damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information.
USER RESTRICTIONS
Client agrees that:
Client will not redistribute any of the content of Samasource without our express written permission.
Client agrees to pay the agreed project fee and/or related Samasource commission.
Client will not falsify Client's own or any other identity.
Client will comply with Samasource policies and terms of service.
Provider agrees that:
Provider will not redistribute any of the content of Samasource without our express written permission.
Provider will not falsify Provider's own or any other identity or provide inaccurate or misleading information, including but not limited to information provided during the quality and social impact screening process prior to joining the network.
Provider will comply with Samasource policies, terms of service, MOU, and any contracts entered into with Clients.
General Restrictions
Users (Clients and Providers) will not distribute unsolicited commercial messages ("spam") through User's account.
Users (Clients and Providers) will not contact employers or Providers through our site or through information gained from our site with the intent of subverting them from using our services.
APPLICABLE LAW
Any dispute arising out of or in connection with these User Terms shall be settled in the courts of the United States of America. These User Terms shall be governed by US law.
